Terms of use

Version 1.0 — in effect since 22 September 2026

Article 1 — Preamble and purpose

These General Terms of Use, incorporating the General Terms of Sale (hereinafter the "Terms"), set out the terms and conditions under which the Publisher makes the qanbio Platform available to Users, as well as the respective rights and obligations of the parties in that connection.

qanbio is an application connecting individuals wishing to travel (Passengers) with independent drivers offering transport services (Drivers), deployed as a pilot in Abidjan, Republic of Côte d’Ivoire, ahead of a regional rollout across West Africa.

Any account creation and any use of the Platform, whether as a Passenger or as a Driver, constitutes full and unreserved acceptance of these Terms, under the conditions described in Article 3.

These Terms incorporate the General Terms of Sale applicable to the Subscription taken out by Drivers, described in particular in Article 7. There are no separate general terms of sale for the Passenger, since no sale and no paid service is provided by the Publisher to the Passenger: payment for the Ride is made exclusively between the Passenger and the Driver, outside the Platform, in accordance with Article 7.

Article 2 — Definitions

The terms below, used in these Terms with an initial capital letter, have the following meaning, whether used in the singular or the plural:

  • the Publisher: means ANTICIP PARTNERS SAS, a simplified joint-stock company (société par actions simplifiée) whose registered office is located in Abidjan, Cocody, Angré 8th tranche, 200 metres from Mandela junction, Lot 125, Îlot 15 (Republic of Côte d’Ivoire), registered with the Abidjan trade and personal property credit register under number CI-ABJ-03-2026-B16-00169, with share capital of 1,000,000 CFA francs, represented by its Chairman, the company publishing the Platform. This information is restated and kept up to date in the Legal Notice accessible from the qanbio.com website, which prevails in the event of any discrepancy.
  • the Platform: means the combination of the Qanbio mobile application (for the Passenger), the Qanbio Driver mobile application (for the Driver), the operations console (back-office) and the qanbio.com website, together with all services accessible through these interfaces.
  • the User: means any natural person using the Platform, whether as a Passenger or a Driver.
  • the Passenger: means any natural person who uses the Platform to search for, order and take a Ride as a traveller.
  • the Driver: means any natural person, an independent driver, who uses the Platform to offer and carry out Rides for the benefit of Passengers, after their registration has been validated in accordance with the process described in Article 4.
  • the Fleet Owner: means any natural or legal person to whom one or more Drivers are attached within the Platform, who as such has access to a read-only dashboard, has no financial flow whatsoever with the Publisher, and does not stand in the Driver’s place as holder of the Driver’s account or Subscription.
  • the Trusted Contact: means the third-party natural person designated by a Passenger after completion of their first Ride, whom that Passenger chooses to have notified if an emergency alert concerning them is triggered.
  • the Ride: means the journey carried out by a Driver for the benefit of a Passenger, from the point the two parties are connected through the Platform until its completion or cancellation.
  • the Quote: means the reference amount displayed on the Platform before a Ride begins, announced to both the Passenger and the Driver, which the Publisher stands behind in principle without ever collecting it or handling its payment.
  • the Subscription: means the paid subscription by which a Driver gains access to the Platform’s matching (dispatch) system, composed of a fixed portion and a variable portion, described in Article 7.
  • the Window: means the rolling twenty-four (24) hour window, strictly prepaid, opened by the Driver’s payment of the Subscription, during which the Driver has access to the Platform’s matching system.
  • the Cancellation Penalty: means the amount owed by a Passenger in the event a Ride is cancelled beyond the applicable free-cancellation period, carried forward to the next Ride ordered by that Passenger, under the conditions described in Article 7.
  • the Terms: means this document.
  • the Privacy Policy: means the document separate from these Terms, dedicated to the processing of Users’ personal data by the Publisher, to which these Terms refer whenever necessary.

Article 3 — Acceptance and enforceability of the Terms

These Terms are brought to the attention of every User before their account is created, within the Qanbio application for the Passenger and the Qanbio Driver application for the Driver. Registration on the Platform is only possible after express acceptance of these Terms by the User, evidenced by a positive and unambiguous action (a checkbox or equivalent action) within the registration process.

This acceptance applies to the document in its entirety; partial acceptance is not possible. It is timestamped and retained by the Publisher, under the conditions described in the Privacy Policy, in order to provide evidence thereof if required.

A User who does not accept these Terms, in whole or in part, may neither create an account nor use the Platform.

Article 4 — Access to the Platform and account creation

4.1 Legal capacity and minimum age

Use of the Platform, whether as a Passenger or as a Driver, is reserved for natural persons who are at least eighteen (18) years old and who have the legal capacity to contract under Ivorian law. Registration by a minor, regardless of age, is not permitted on the Platform.

4.2 Passenger registration

Passenger registration is carried out using only the Passenger’s phone number, verified by sending a one-time code (OTP). No password and no email address are required to create or use a Passenger account. The Passenger warrants the accuracy of the phone number provided and undertakes to keep it up to date.

4.3 Driver registration

Driver registration is subject to an identity and compliance verification process ("KYC"), organised into six successive steps:

1. entry and verification of the Driver’s identity and phone number;

2. submission of the required supporting documents (identity document, driving licence, vehicle registration certificate, insurance certificate, roadworthiness inspection certificate and, where applicable, a criminal record extract);

3. entry of information relating to the vehicle used;

4. activation of the Subscription, under the conditions described in Article 7;

5. entry of the mobile money account used to pay the Subscription;

6. completion of a short training module, delivered within the Qanbio Driver application.

Access to the matching system (dispatch) only opens once all of these steps have been validated by the Publisher’s teams, in particular the review of the supporting documents submitted. The Publisher reserves the right to refuse a registration, or to suspend a registration under review, where the documents submitted are missing, illegible, expired or appear to have been falsified, without such refusal giving rise to any compensation.

The Driver undertakes to keep valid at all times the supporting documents subject to an expiry date (driving licence, insurance, roadworthiness inspection) and to renew them on the Platform before they expire. Failing this, access to the matching system may be suspended under the conditions of Article 12.

Article 5 — Role and liability of the Platform

5.1 Characterisation of the Publisher

The Publisher operates the Platform as a publisher of a technology solution connecting Passengers and independent Drivers. This characterisation governs these Terms as a whole and determines the scope of the Publisher’s liability as set out below.

In this capacity, the Publisher:

  • is not a carrier: the Publisher does not carry out, order or control the physical performance of any Ride; transport is carried out entirely by the Driver, acting in their own name and under their sole responsibility as a driver;
  • is not a party to the contract of carriage concluded between the Passenger and the Driver in connection with each Ride; this contract is formed directly between these two persons, independently of the Platform, which is merely the tool that connects them;
  • is not a payment intermediary for the Ride: in accordance with the foundational rule of qanbio’s business model (see Article 7), the Publisher never collects, holds, escrows or pays out the price of a Ride, whatever it may be;
  • is not the employer of Drivers: the Driver carries out their activity as an independent worker, including when attached to a Fleet Owner; no relationship of subordination, no employment contract and no relationship equivalent to employment exists between the Publisher and the Driver.

5.2 Scope of the Publisher’s liability

This characterisation as a publisher of a technology platform does not exempt the Publisher from its own obligations, and must not be interpreted as a total or disguised exemption from liability, which would be contrary to Law No. 2016-412 of 15 June 2016 on consumer protection. The Publisher remains liable, under ordinary law and subject to the limitations set out in Article 14, in particular for:

  • the proper technical functioning of the Platform, within the limits of the means that a reasonably diligent publisher of a digital solution implements;
  • compliance with its own verification obligations during the identity and compliance verification process (KYC) described in Article 4.3, within the limits of what such documentary review can reasonably establish;
  • the availability of the safety mechanisms described in Article 10 (emergency alert, Trusted Contact, ride sharing) and their functioning in accordance with their description;
  • the processing of Users’ personal data in accordance with the Privacy Policy;
  • the handling of reports brought to its attention under the terms of Article 9.

However, because it is neither a carrier nor a party to the contract of carriage, the Publisher cannot be held liable for the conduct of a Passenger or a Driver during the performance of a Ride, nor for the quality, safety or compliance of the transport service itself, which is the sole responsibility of the Driver performing it, subject to the Publisher’s own failures referred to above.

Article 6 — Users’ obligations

6.1 Obligations common to all Users

Every User undertakes to:

  • provide accurate, complete and up-to-date information upon registration and throughout their use of the Platform;
  • use the Platform in accordance with its intended purpose, in compliance with these Terms and applicable regulations;
  • honour the Quote announced for each Ride, without seeking or imposing a unilateral change to it during or after the Ride, except by the express agreement of both parties;
  • not circumvent the Platform for the purpose of concealing from the Publisher a connection initiated through it (disintermediation), nor divert the Platform from its intended purpose;
  • not impersonate a third party, nor create an account on behalf of another person without authorisation to do so;
  • not undermine the security, integrity or proper functioning of the Platform;
  • not make abusive, discriminatory, threatening remarks or remarks contrary to public order towards another User or towards the Publisher;
  • report to the Publisher any malfunction, any conduct contrary to these Terms, or any situation jeopardising their own safety or that of a third party.

6.2 Obligations specific to the Passenger

The Passenger undertakes in particular to pay the Driver, at the end of each Ride, the amount corresponding to the announced Quote, outside the application, in accordance with the terms described in Article 7, and to behave towards the Driver with courtesy and respect.

6.3 Obligations specific to the Driver

The Driver undertakes in particular to:

  • keep their Subscription valid at all times in order to access the matching system, under the conditions of Article 7;
  • keep the supporting documents subject to an expiry date up to date and valid (Article 4.3);
  • carry out the Ride in accordance with the Quote announced to the Passenger, without demanding a higher amount from the Passenger without justification communicated and accepted before payment;
  • comply with the regulations applicable to driving a vehicle and to the carriage of passengers in the Republic of Côte d’Ivoire;
  • not solicit the Passenger, directly or indirectly, to arrange a future Ride outside the Platform for the purpose of circumventing the Subscription.

Article 7 — Financial terms

7.1 Principle: direct payment of the Ride price

The Passenger pays the Ride price directly to the Driver. The Publisher never collects, holds or receives the price of a Ride at any point. There is no passenger payment module within the Platform: neither escrow, nor payout, nor bank card data is processed by the Publisher in connection with payment for a Ride.

Payment for each Ride is made exclusively outside the Platform, directly between the Passenger and the Driver, in cash or by any other means freely agreed between them at the time of payment.

7.2 The Quote: a reference amount, not a transaction

The amount displayed before each Ride constitutes the Quote, i.e. a reference amount announced to both parties, which the Publisher undertakes in principle to have honoured through the trust and reporting mechanism described in Article 9, without being able to technically collect it or guarantee its performance by enforcement. Compliance with the Quote thus relies on Users’ good-faith conduct, on the effect of reporting in the event of an overcharge, and on the suspension measures the Publisher may impose as a result, rather than on a technical payment mechanism.

7.3 Driver Subscription

The only financial flow between the Publisher and a User, the Subscription is taken out exclusively by the Driver — never by the Passenger — and is composed of two elements:

  • a fixed portion, currently set for the Republic of Côte d’Ivoire at 1,000 CFA francs per day;
  • a variable portion, equal to 1% of the revenue generated by the Driver during the Window that has just closed.

The Subscription is exclusively daily: no weekly or monthly offer is available.

How the Window works. The Subscription operates on a rolling twenty-four (24) hour cycle, strictly prepaid: the Driver pays to open their own Window, which can only be renewed once it has expired, to the exclusion of any advance payment. Upon expiry of the Window, the Driver’s access to the matching system is suspended immediately and without any grace period. Reminders are sent to the Driver before this expiry, by default sixty (60), thirty (30), fifteen (15) and then five (5) minutes before the deadline, these delays being configurable by country.

The fixed portion of the Subscription remains due to open any new Window, including where the variable-portion base of the preceding Window is nil: there is neither an exemption nor a carry-over of the variable portion, since payment of the fixed portion is what opens access to the next Window rather than a consequence of past activity.

qanbio does not guarantee to any Driver that they will earn more by subscribing to the Platform than they would by any other means of carrying out their activity. The amount actually owed by a Driver depends on the revenue they generate during each Window; the economic benefit of the Subscription therefore depends on the Driver’s level of activity and is not the subject of any profitability guarantee by the Publisher.

7.4 Terms of payment of the Subscription

Payment of the Subscription by the Driver is made by mobile money, using the operators available in the pilot market (Orange Money, MTN MoMo, Moov Money, Wave), through a third-party payment aggregator.

7.5 Cancellation Penalty

If a Ride is cancelled by the Passenger beyond the free-cancellation period, a Cancellation Penalty is created against the Passenger and carried forward to the next Ride they order. For the Republic of Côte d’Ivoire, the parameters currently in force are as follows:

  • free-cancellation period: two (2) minutes after the order is placed, during which no Penalty is created;
  • Penalty amount: five hundred (500) CFA francs per cancellation recorded beyond the free-cancellation period;
  • cumulative cap: one thousand five hundred (1,500) CFA francs;
  • validity period: thirty (30) days from creation, beyond which an uncarried Penalty lapses.

The Cancellation Penalty never passes through the Publisher at any point. It is directly owed by the at-fault Passenger to the beneficiary Driver, by being carried forward onto payment of the next Ride ordered by that Passenger. Where a Driver collects a Penalty owed to them in cash, they keep it permanently; the Publisher carries out no cross-compensation between Drivers, no debit of the collecting Driver and no credit to a third-party Driver.

Three particular situations are handled as follows:

  • where a Penalty has been collected by a Driver other than the one to whom it was originally owed, the collecting Driver keeps it permanently, with no payment made to the originally wronged Driver;
  • where several Penalties are owed by the same Passenger under the applicable cumulative cap, they are carried forward in order of seniority of creation;
  • where the Driver who is the beneficiary of a Penalty is no longer active on the Platform at the time that Penalty should be carried forward to a new Ride, the Penalty is cancelled before being carried forward to the Passenger, and no amount is owed by the Passenger in this respect.

7.6 Configurable nature of amounts

In accordance with the overarching rule that every amount, rate, threshold or period is set by a country-specific reference framework and may be changed by the Publisher from the back-office, the amounts referred to in this Article 7 are those in force for the Republic of Côte d’Ivoire as of the drafting date of this document and are subject to change. Any significant change to these amounts is subject to prior information being given to the Users concerned, by an appropriate means (notification within the Platform or any other useful channel), before it takes effect, without such information constituting an individual contractual notice sent to each User.

Article 8 — Free search and free cancellation

In accordance with the Platform’s foundational rules:

  • no fee is charged while searching for a Driver: an unsuccessful search, one that does not result in a match, or one interrupted by the Passenger before a Driver is assigned, is always free of charge, regardless of its duration;
  • no fee is charged at the moment a Ride is cancelled: any Cancellation Penalty created under the conditions of Article 7.5 is never charged immediately upon cancellation, but is only carried forward onto payment of the next Ride ordered by the Passenger concerned.

Article 9 — User content, reports and moderation

9.1 Ratings and reports

At the end of each Ride, the Passenger and the Driver may rate their counterparty and, where applicable, submit a report, in particular in the event the announced Quote is exceeded.

The acknowledgement issued following a report of a fare overcharge expressly states that the Platform cannot refund the Passenger, since payment for the Ride was made outside the Platform and the Publisher never had financial control over it. The report feeds into the Platform’s trust mechanism (rating, Driver trust status) and may, depending on its severity and recurrence, lead to suspension of the account concerned under the conditions of Article 12.

9.2 Moderation

The Publisher may, at any time and without notice where the situation warrants it, carry out a manual, reasoned suspension of a User’s account, with immediate effect on their access to ordering (Passenger) or to the matching system (Driver), where a breach of these Terms or a situation jeopardising a third party’s safety is observed. Every suspension decision is reasoned and logged by the Publisher.

Article 10 — Safety and emergencies

The Platform provides Users with several safety mechanisms:

  • an emergency alert button, which triggers immediately, without confirmation or any reason to be given, and whose state is managed server-side so as not to depend solely on the connectivity of the User’s device;
  • the ability, for the Passenger, to designate a Trusted Contact after completing their first Ride, who is notified if an emergency alert is triggered;
  • ride sharing via a time-limited link, which automatically expires at the end of the Ride and exposes only the vehicle’s position and estimated arrival time.

The precise terms of processing personal data associated with these mechanisms (trusted contact, location, alert content) are detailed in the Privacy Policy, to which this Article expressly refers.

Article 11 — Intellectual property

The name "qanbio" or "Qanbio", the names "Qanbio" and "Qanbio Driver" as displayed after the applications are installed, the trademarks, logos, graphic elements, databases, content, text and, more generally, all elements making up the Platform are the exclusive property of the Publisher or are licensed for the Publisher’s benefit, and are protected as such under applicable intellectual property law.

No provision of these Terms shall be interpreted as transferring or licensing these elements to the User, except for the strictly necessary, non-exclusive right of use to use the Platform in accordance with its intended purpose and these Terms. Any unauthorised reproduction, representation, modification or exploitation of these elements is strictly prohibited.

In accordance with the product’s style guide, the product name is never written in capital letters alone ("QANBIO"); it is written "qanbio" or "Qanbio".

Article 12 — Suspension and termination of the account by the Publisher

The Publisher may suspend or terminate, in whole or in part and at any time, a User’s access to the Platform, in particular in the following cases:

  • a User’s breach of any of the obligations described in Article 6;
  • a well-founded report within the meaning of Article 9;
  • conduct jeopardising the safety of another User or a third party;
  • the provision of inaccurate, incomplete or falsified information, in particular during the verification process described in Article 4.3;
  • expiry of supporting documents subject to a deadline without renewal (Driver);
  • expiry of the Subscription Window without renewal (Driver), in accordance with Article 7.3, the effect of which — immediate exclusion from the matching system without any grace period — is automatic and does not, as such, constitute a reasoned suspension measure within the meaning of this Article;
  • repeated failure to honour the announced Quote.

Depending on the severity of the facts, suspension may take immediate effect on dispatch (Driver) or on the ability to order a Ride (Passenger), without notice. Every reasoned suspension decision taken by the Publisher, as distinct from the automatic exclusion linked to expiry of the Window, is logged and may be communicated to the User concerned upon request, to the extent compatible with the protection of reporting third parties and other individuals’ personal data.

Article 13 — Deletion of the account at the User’s request

Any User may request the deletion of their account and associated data, at any time, through two channels:

  • from within the application (Qanbio or Qanbio Driver, as applicable), through the Profile → Account → Delete my account path;
  • from the qanbio.com website, using an account deletion request link accessible without prior login, at `qanbio.com/delete-account`.

The deletion request triggers the calculation of a data purge deadline, the precise period for which is set by the Publisher’s retention reference framework: thirty (30) days for account data, three (3) years for the Driver’s supporting documents. These periods, together with the one applicable to position history, are detailed in Article 5 of the Privacy Policy, to which this Article refers for any further detail.

Financial entries relating to the Subscription and Cancellation Penalties, owing to their immutable nature, are retained beyond deletion of the account for the period required by applicable accounting obligations, under the terms specified in the Privacy Policy.

Article 14 — Limitation of liability

Without prejudice to the provisions of Article 5 concerning the scope of liability specific to the Publisher’s characterisation as a technology platform publisher, the Publisher shall not be held liable for:

  • damage resulting from an event of force majeure within the meaning of Article 15;
  • damage resulting from a failure, interruption or malfunction of telecommunications networks, electrical networks, or services provided by third-party suppliers whose infrastructure the Publisher does not control (telecommunications operators, hosting providers, mapping providers, the mobile money payment aggregator, the SMS and voice messaging provider);
  • damage resulting from the act of a third party, in particular the conduct of another User, a Fleet Owner, or any person unrelated to the Publisher;
  • the non-performance or improper performance of a Ride by a Driver, which falls under that Driver’s sole responsibility as an independent carrier, in accordance with Article 5;
  • failure by either party to a Ride to honour the Quote, since fare transparency relies on the reporting and trust mechanism described in Article 9 rather than on a technical price-collection mechanism.

In any event, the Publisher makes no refund, in any form whatsoever, of any amount paid between a Passenger and a Driver in respect of a Ride, the Publisher never having financial control over such payment at any point.

Article 15 — Force majeure

Neither party may be held liable for failure to perform, or delay in performing, any of its obligations under these Terms where such failure or delay results from an event of force majeure, as recognised under applicable case law and law, including in particular natural disasters, acts of war, riots, decisions of public authorities, general and prolonged failures of telecommunications or electrical networks, or any event beyond the reasonable control of the party invoking it.

Article 16 — Amendment of the Terms

The Publisher reserves the right to amend these Terms at any time, in particular to reflect regulatory, technical or functional changes to the Platform. Any amendment is subject to prior information being given to Users, by an appropriate means (notification within the Platform or any other useful channel), before it takes effect.

Continued use of the Platform after an amended version of the Terms takes effect constitutes acceptance of that version by the User. Failing acceptance, the User must stop using the Platform and may request deletion of their account under the conditions of Article 13.

Article 17 — Governing law

These Terms are governed by the law of the Republic of Côte d’Ivoire, including in particular:

  • Law No. 2013-450 of 19 June 2013 on the protection of personal data;
  • Law No. 2013-546 of 30 July 2013 on electronic transactions;
  • Law No. 2013-451 of 19 June 2013 on combating cybercrime;
  • Law No. 2016-412 of 15 June 2016 on consumer protection;
  • the applicable Uniform Acts of the Organisation for the Harmonisation of Business Law in Africa (OHADA), in particular regarding general commercial law.

Article 18 — Amicable settlement and competent jurisdiction

In the event of a dispute relating to the validity, interpretation or performance of these Terms, the parties shall endeavour to seek an amicable resolution before any legal action.

Failing an amicable resolution within a reasonable period, the dispute shall be brought before the competent courts having jurisdiction over Abidjan, the Publisher’s registered office.

Article 19 — Contact

For any question relating to these Terms, the User is invited to refer to the Legal Notice accessible from the qanbio.com website, which sets out the Publisher’s contact details.
